Job Description
Serve as Finance Lead for all Merger & Acquisition (M&A) activities and integration. Collaborate with internal senior management and external accounting firms as you assist in execution of financial due diligence and development of appropriate transaction structure for acquisitions. Be knowing of profit drivers and trends of targets, challenge assumptions of future performance, and assist with purchase agreements and post-closing transaction matters. Analyze financial and operational results of targets. Prepare pro forma financial information; identify issues for purchase price reductions and deal structuring and steps to full integration. Perform accounting for post-acquisition purchase price and purchase accounting adjustments. Research and implement technical accounting issues. Perform financial statement analysis and other key financial reviews; support internal control initiatives and SOX requirements; and audits. Many special projects.
Qualifications
Mandatory minimum qualifications - BS required; CPA or MBA a plus. Seek 5+ years of public accounting experience, working knowledge of GAAP. Combination of public accounting and/or private industry experience fits. Financial or expense/cost analysis experience within a manufacturing setting a plus. Critical is strong oral/written communications skills. Upside potential is excellent. accounting and analytical skills as well as strong systems skills (Excel and familiarity with SAP general ledger and Hyperion applications a plus). Strong accounting assignment with good visibility and potential for future growth. Familiarity with internal controls and Sarbanes-Oxley requirements. Experience related to M&A activities preferred, but not essential.
